Terms and Conditions

PINS INTEGRATED SOLUTIONS LTD. (hereinafter “PINS” or “Company” or “We” or “Us”) require you (“Subscriber” or “Customer” or “You” or “User”) to read these terms and conditions (“Agreement” or “Terms of Service”) carefully before using the services (“PINSAPP”) offered by PINS Solutions Services .

This Terms and Conditions form a legally binding agreement between the user of our products and services, and the Company, for the use of the services owned and operated by PINS Solutions Services (described in section 2) and its website at https://www.pinsmobilesecurity.com (the “Site”). By accepting this agreement and signing up or using our services in any manner, including but not limited to visiting or browsing the site, you acknowledge that you have read, understand and agree to be bound by the following terms and conditions, all applicable laws and regulations whether or not you are a registered user of our Service. However, if you do not agree with this Terms of Service, you are not permitted to access or use any of our services and must uninstall the app if you have already download it.

PINS Solutions Services may review and modify these terms from time to time as the services may change over time as we roll out an update and new features, however, the most current version will be always available on our website. We will notify you (via email, and/or posting on our blog) in case any meaningful important change affects your rights. By continuing to use or access PINS Mobile Security App or the Site after the revisions come into effect, you agree to be bound by the revised Terms.

This is a quick summary of the most important points. Please read this document in its entirety before using PINS Mobile Security App.

  • You may not use PINS Mobile Security App for any commercial or non-private use, it being understood that PINS Mobile Security App is for personal, non-commercial use only. 
  • You may not use PINS Mobile Security App or any location information displayed within PINS Mobile Security App to stalk, harass, abuse, defame, threaten or defraud other users, or collect, attempt to collect, or store location or personal information about others. 
  • You may not share your account password with any other person for any reason. 
  • Some of PINS Mobile Security App features require the use of SMS text messages. Standard data and messaging charges, fees, and taxes from your wireless operator apply.
  • You may use PINS Mobile Security App for one subscription account (a “Subscription Account” is comprised of the shared resources accessible by a single login ID) on mobile devices owned or leased solely by you, for your personal use. 
  • Personal information stored on our servers consists of: email address associated with your account, device ID (could be the IMEI/MEID number, ANDROID_ID, serial number or a combination of these), last location, last call logs, last KML file representing location history, Diagnostics of device information, SMS history sent by each device. If you wish to have a message history, please make a local copy from PINS Mobile Security App dashboard. 

PINS mobile device software applications, websites, services and content (e.g., widgets, feeds and applications) owned or operated by PINS Solutions are governed by the following terms and conditions.

  1. GENERAL RULES

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

The headings to the clauses of this Agreement are for reference purposes only and shall in no way govern or affect the interpretation of or modify or amplify the terms of this Agreement or any clause hereof.

In the event that the day for payment of any amount due in terms of this Agreement should fall on a day which is not a Business Day, then the relevant date for payment shall be the following Business Day.

Where figures are referred to in numerals and in words, if there is any conflict between the two, the words shall prevail.

Where any term is defined within the context of any particular clause in this Agreement, the term so defined, unless it is clear from the clause in question that the term so defined has limited application to the relevant clause, shall bear the same meaning as ascribed to it for all purposes in terms of this Agreement, notwithstanding that that term has not been defined in this interpretation clause.

The use of the word “including or such as” followed by a specific example or examples shall not be construed as limiting the meaning of the general wording preceding it. As such, “including or such as” shall mean “including or such as, but not limited to”.

The use of the words “subscribe”, ”sales”, ”purchase” or similar terms shall means that the PINS services are being licensed to you, not sold. Anything contrary herein, PINS (or the entity, as applicable) retains all rights, title and interest (including all intellectual property rights) in and to the PINS services. PINS Solutions Services reserve any licences not expressly granted herein.This Agreement shall be binding on and enforceable by the subscribers of the PINS Solutions Services.

The expiration or termination of this Agreement in as far as the different service/product options are concerned shall not affect such of the provisions of this Agreement as expressly provided that they will operate after any such expiration or termination or which of necessity must continue to have effect after such expiration or termination, notwithstanding that the clauses themselves do not expressly provide for this.

  1. DESCRIPTION OF THE SERVICE

PINS Solutions Services is an app based mobile security solution which has been developed by PINS INTEGRATED SOLUTIONS LTD. 

PINS gathers and provides recovery information. Our services provides users with all information required to help them recover their lost or stolen mobile phones. Our device recovery package is a separate service plan on its own and it is optional (excluding for the Premium Plan).

The usage of our services requires the user to download our PINS Mobile Security App from the play store, sign up with the accurate information before subscribing for their choice of service. Following the subscription, users will be able to choose from either the “Standard, or Premium Plan” and whether “Monthly or Yearly Subscription” which spread across these features; “Pin intruder, Find my phone, Sim card replacement tracking, Cloud backup, Anti-virus, Remote wipe and Diagnostics”.

Devices connect through an Internet connection via an API to a centralized host (the “Server”) and send information, such as their Pin intruder/unauthorised users photos, current location, which can also perform different actions if requested by the authorised user.

The amount of information the mobile device can send and numbers of actions it can perform are listed on the Site. They depend on the device activities and the features available for the current plan (the “Plan – Standard and Premium”) associated with their mobile device.

The Control Panel is administered by each mobile phone authorised user from any browser with an Internet connection. PIN Solutions have set a standard feature on the control panel. The user’s dashboard is administered and maintained only PINS solutions Limited

  1. USAGE

You must be at least 16 years old or capable of legally entering into a contract to use our service(s) (or such greater age required in your country for you to be authorized to use our Services without parental approval). In addition to being of the minimum required age to use our Services under applicable law, if you are not old enough to have authority to agree to our Terms, your parent or guardian must agree to our Terms on your behalf. You agree that the information you provide to PINS Integrated Solutions upon registration and at all other times will be true, accurate, current and complete. You also agree that you will ensure that this information is kept accurate and up to date at all times.

PASSWORD

To use our service(s) you will be required to create an account by signing up with an up-to-date, accurate, and complete information. When you register as a member you will be asked to provide a password. As you will be responsible for all activities that occur under your password, you should keep your password strictly confidential at all times. 

YOU MUST NOTIFY PINS SOLUTIONS IMMEDIATELY OF ANY UNAUTHORIZED USE OF YOUR PASSWORD OR IF YOU BELIEVE THAT YOUR PASSWORD IS NO LONGER CONFIDENTIAL. 

We reserve the right to suspend your account and/or require you to alter your password if we believe for any reason that your password is no longer secure.

YOU MAY NOT SHARE YOUR ACCOUNT PASSWORD WITH ANY OTHER PERSON FOR ANY REASON.

Users are required to only install the PINSAPP on their own devices or that which they have explicit permission to do so. Once the app has been installed, PINS hereby grant users a limited, non-exclusive, non-transferable, revocable license to use the app, solely to access the services we provide.  You must use our services according to our Terms and posted policies. Any misuse of this service will result in the Account being suspended. Any illegal use of this service will be reported and we will comply with and assist law enforcement regarding the misuse.

If you have been subscribing to the PINSAPP on a device and you decide to give the device out or sell it, you must uninstall the app and remove the device from your Control Panel Account, so that all gathered data is destroyed. 

  1. DATA/INTELLECTUAL PROPERTY

To enable successful sign-up process, you will be required to provide some information such as name, date of birth, email, password, alternative number, security question, and profile picture. Further data that could be captured from your device or through the use of our services would be optional and depending on the choice of services/features (such as contact back-up, Pin intruder, and Sim Tracking).

The information collected at the point of sign-up is solely for the purpose of user’s unique identification. However, Users will retain their full ownership and access rights to the data collated during sign-up or through the use of our services. The terms of this agreement do not permit PINS any rights to user’s data or intellectual property neither shares it with any third party for any purpose except for the limited rights that are needed for the purpose of communicating information and the during the process device recovery; as explained below.

The limited right required for the process of device recovery will only commence when the user activates the recovery process and gives their permission to use specific data for the process; such as intruder’s pictures, location history from the time recovery process was activated and call/SMS log from the time recovery process was activated. You give us the permissions we need to do those things solely to provide the Service(s).

  1. SUBSCRIPTION PLANS AND PAYMENT OBLIGATIONS

SUBSCRIPTION PLAN:

PINS offer two subscription plans for their users to choose from; these include Standard and Premium Plan. Users who subscribe to the Standard and Premium Plan can either pay monthly or annually. 

Occasionally, we will be offering 7 days free trial for new subscribers. A day after the end of the trial period, PINS will automatically start charging the user for the subscription unless the service is cancelled.

The payment methods available at the moment are either by Credit/Debit Card, USSD and Bank Account payment.

RECOVERY PLAN:

PINS gathers and provides recovery information. Our services provides users with all information required to help them recover their lost or stolen mobile phones. Our device recovery package is a separate service plan on its own and it is optional (excluding for the Premium Plan).

At the time of subscribing, Service Users will have the opportunity to opt for our recovery service or not to; should they be willing to recover their devices themselves. There are two payment required for this service; the initial and subsequent payment.

Although we do not guarantee the recovery of the device, however PINS will be happy to provide our users all necessary support to ensure that the missing device is recovered. PINS will also not be responsible for any distortion or damages incurred during the process of recovery the device.

Our recovery plan is optional. Service users might choose to recover their devices themselves or request our recovery plan. When  service user mobile phone is recovered, Service users will be required to pay for the logistic cost of recovery.

Note that we will only be able to track and recovery the device if the device is in use. 

  1. CANCELLATION AND TERMINATION

Users can cancel their subscription at any time by calling the customer service helpline. Once a cancellation has been initiated, Users will receive an email confirmation.

If a subscription is canceled before the end of its current paid up time, including but not limited to a monthly subscription plan, your cancellation will take effect immediately but will forfeit and relinquishment the outstanding payment. Users are solely responsible for the proper cancellation of their subscription; an email request to cancel your subscription will not be considered.

 PINS reserves the right to refuse service to an individual or enterprise for any reason at any time.

  1. INTERRUPTION OR MODIFICATIONS TO THE SERVICE AND PRICES

PINS reserves the right to interrupt, suspend, or modify, temporarily or permanently, the Service and/or Access at any time and from time to time with or without notice. This is to facilitate any modification, maintenance or remedial work in respect of the services offered by us.

PINS reserves the right to amend the tariffs, charges of all our Services, this will be subject to 30days notice from us by a publication on the Site.  

PINS shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

  1. WARRANTIES

PINS will be happy to provide our users a great service, however there are certain things about our services that we cannot promise. The services and that of any third party are provided on an “as is,” basis. We shall not give or make any warranties, guarantees or representation whatsoever, whether implied or express, in relation to the warranties of merchantability, fitness for a particular purpose, title, and non-infringement of proprietary rights and any warranties regarding the security, reliability, timeliness, and performance of the services and that of third party services.

Our users acknowledge and agree that any download and/or the use of the service, and all third party services made available in conjunction with or through the service, is at their own discretion and risk. In addition, users will be solely responsible for any damages to their devices or loss of data that might results from the download or use of our services and that of the third party.

  1. LIMITATION OF LIABILITY

TO THE EXTREME EXTENT PERMITTED BY LAW, IN NO EVENT WILL PINS INTEGRATED SOLUTIONS LTD., ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY LOSS OF USE, PROFITS OR BUSINESS; DAMAGE INVOLVING ANY DEVICE, EQUIPMENT, SYSTEM, CONTENT OR DATA (INCLUDING FOR LOSS, THEFT OR UNAUTHORISED ACCESS TO SUCH ITEMS); COSTS OF SUBSTITUTE PRODUCTS OR SERVICES; REPUTATIONAL HARM; OR ANY INDIRECT, SPECIAL, INCIDENTAL, RELIANCE, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY KIND, HOWEVER CAUSED, WHETHER OR NOT PINS ENTITY HAS BEEN NOTIFIED ORALY OR IN WRITING OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

SOME JURISDICTION DO NOT ALLOW LIMITATIONS OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES; IN THAT CASE THESE LIMITATION MAY NOT APPLY TO YOU.

  1. ABITRATION/DISPUTE RESOLUTION

Please Read This Following Clause Carefully

If any dispute arises as to the validity, interpretation, effect or rights and obligations including but not limited to claims arising out of or relating to this Agreement, the Parties shall use their best endeavours to reach an amicable settlement of the dispute, If no settlement can be reached, the case may then be submitted for arbitration in accordance with the provisions of the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria, 2004 or any amendments or re-enactments thereof utilising the rules contained in the said Arbitration and Conciliation Act. The venue of the arbitration shall be Lagos and the expenses of the arbitrators shall be borne equally by the Parties.
